Dassault systems (Euronext Paris: FR0014003TT8, DSY.PA) announces that Bernard Charlès has today and with immediate effect informed the Board of Directors that he is stepping down as Executive Chairman and member of the Board of Directors for personal reasons.
The Board of Directors has unanimously decided that Pascal Daloz, Chief Executive Officer of Dassault Systèmes, will become Chairman and Chief Executive Officer, in line with the recommendation of the Remuneration and Nomination Committee, as of February 21, 2026.
Pascal Daloz, Chairman of the Board and Chief Executive Officer of Dassault Systèmes, commented:
“I am honored to succeed Bernard Charlès as Chairman of Dassault Systèmes, in addition to my mission as CEO. I would like to thank Bernard for his trust, his continued support and his inspiration. We share the same vision: pushing the boundaries of science and imagination to transform the lives of consumers, patients and citizens – “bringing virtual worlds to life”. We also share a common belief about the plan needed to make that vision a reality.
As co-founder and CEO, Bernard guided our company from a startup to a global leader. He is the inspiration behind Dassault Systèmes’ leading technologies and has created a culture of continuous innovation within our organization. He has helped transform industries for a more sustainable world. I thank Bernard for offering to remain available to help us accelerate the adoption of 3D UNIV+RSES powered by AI.
Our ambition is clear: to lead the transformation powered by industrial AI through 3D UNIV+RSES. This is a long-term commitment to further redefine how industries innovate, operate and compete in the generative economy. I am committed to ensuring that Dassault Systèmes maintains the freedom needed to remain a game-changer and accelerate growth.”
Bernard Charles commented:
“For personal reasons, I have requested to be relieved of my duties as Executive Chairman of the Board of Directors of Dassault Systèmes. As co-founder of our company, alongside Charles Edelstenne, I am truly pleased that Pascal Daloz will succeed me in this role. Pascal and I have worked side by side for 25 years, and he has my full confidence to both lead the company and organize the work of the Board of Directors.”
This decision reflects the continued continuity of the company’s governance, which is an important source of confidence for our major customers around the world. I firmly believe that this new configuration creates the strongest conditions for the continued and successful development of Dassault Systèmes.
I love and am deeply proud of Dassault Systèmes – its people, its teams, its customers, its purpose and values and what we build together. I am a product and technology leader through and through; this is my passion. I remain fully available to the company to accelerate the adoption of 3D UNIV+RSES. Over the past 40 years, I have driven six generations of industrial transformation, leading breakthrough product innovation. “Gen7” is now well defined and designed. Pascal and his remarkable team will further drive this tremendous legacy for the success of our customers, partners and shareholders.”
“On behalf of the Board of Directors, I would like to thank Bernard Charlès for his relentless leadership in positioning Dassault Systèmes as a global leader in PLM, recognized by all sectors. His unique vision, endorsed by so many leading companies, has always been a competitive advantage. Over the past three years, he has carefully prepared his succession: ensuring the 7e generation of our AI-based industrial solutions is well committed and carries forward his career legacy, continuously striving for the highest quality standards. With Pascal Daloz, the company is in good hands for the future,” added Charles Edelstenne, founder and honorary chairman.
