“Coinbase does not offer any collateral,” CFO argues in the case against SEC

  • New developments emerged surrounding Coinbase’s legal battle against SEC.
  • Ripple CFO extended his support to Coinbase.

The legal proceedings involving the US Securities and Exchange Commission (SEC) and Coinbase have become a complex issue.

The centerpiece remains the determination of whether transactions involving about a dozen tokens on the U.S. exchange should be classified as securities.

Legal battles ensue

During a recent court hearing, both the SEC and Coinbase agreed that the tokens themselves should not be considered securities. However, disagreement arose over the nature of these transactions.

The SEC argued that each transaction essentially constitutes an investor entering a token ecosystem with the expectation of sharing in the profits.

According to SEC lawyers, Coinbase would violate securities laws if any of these transactions were considered an investment contract.

Coinbase, on the other hand, argued that these are secondary market transactions with no contractual basis, and therefore should not be classified as securities.

The CFO intervenes

Paul Grewal, Chief Legal Officer at Coinbase, expressed his views on the ongoing lawsuit via a Twitter statement.

He highlighted the arguments made in the motion to dismiss the SEC lawsuit against Coinbase, highlighting the SEC’s seemingly broad authority over all investments without imposing clear limitations on the definition of an investment contract.

Grewal underscored the importance of legislative discussions and the role of Congress in establishing regulatory frameworks, stating that the SEC should not unilaterally expand or redefine its regulatory scope.

He concluded by reaffirming Coinbase’s confidence in its legal arguments and expressed his expectation for a decision that would bring much-needed clarity to the industry.

Additionally, Grewal reaffirmed Coinbase’s position that it is not offering securities and emphasized the company’s commitment to legal transparency throughout the proceedings.

Crypto community shows support

Stuart Alderoty, Ripple’s Chief Legal Officer, also showed his support for the exchange’s legal team. In a tweet on January 18, he praised Coinbase’s legal team for continually defending its case against regulatory scrutiny.
